By registering for Signifyd’s FLOW Summit (“FLOW”, and collectively with Signifyd-hosted events in connection with FLOW, the “Event”), you (the “Registrant” or “you”) hereby acknowledge and agree to abide by these Event Terms.

Equitable and Non-Discriminatory Participation
Signifyd expects all participants, including staff, speakers, attendees, and sponsors to be respectful, mindful, collaborative, and non-discriminatory, and not cause any disturbances or inappropriate interruptions during any scheduled events. This applies to all FLOW venues (including events hosted at hotels and restaurants), areas within any conference platform, and any online media or spaces associated with any virtual element of the Event.

Waiver, Release, Indemnification, Assumption of Risk
As a condition of participation in the Event, I, the Registrant, hereby expressly waive any rights against and release and hold harmless Signifyd, Inc. and its affiliates and its and their directors, employees, contractors, agents, representatives, successors and assigns (collectively “Signifyd”), and the Event venue(s), Event sponsors, Event vendors, and each of their employees and representatives (collectively with Signifyd, the “Releasees”) from and against any and all claims, suits, demands, losses, damages, expenses, or liability of whatever kind or nature, under any theory of law or equity, that may arise during or as a result of my participation and/or presence at the Event, including but not limited to any such liability related to or arising out of personal property damage, illness, injury, death, or infection of COVID-19 or complications, symptoms, or other effects resulting from contracting COVID-19. I, the Registrant, shall defend, indemnify, and hold harmless the Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs and expenses, including reasonable attorneys’ fees and costs, and/or the cost of pursuing any insurance providers, arising out or resulting from any claim of a third party related to my participation in and/or presence at the Event.

I, the Registrant, understand, and it is my express intent, that this release and waiver of liability releases the Releasees from such liability even if such liability results from or is caused by the sole or contributory negligence, strict liability, or other legal fault of Signifyd or any Releasee or third party. I also understand and agree that Signifyd does not assume any responsibility or obligation to provide financial or other assistance, including but not limited to medical, health, or disability assistance in the event of property damage, monetary loss, injury, illness, or death. In the event that I or my family member is injured, becomes ill, or suffers complications due to COVID-19, allegedly as a result of my participation in the Event, I agree to release and hold harmless Signifyd in the same manner and to the same extent as set forth above.

By completing the registration for the Event, I acknowledge I have carefully read and fully understand all provisions of this release, and freely and knowingly assume the risk and waive my rights concerning liability as described above.

Image and Use of Likeness
I, the Registrant, hereby grant to Signifyd non-revocable permission to capture my photo, image, voice, commentary, and likeness, including within videos (collectively “Images”), during the Event. I acknowledge that Signifyd will own such Images and further grant the Signifyd permission to copyright, display, publish, distribute, use, modify, print, and reprint such Images in any manner whatsoever related to Signifyd’s business, including without limitation, publications, advertisements, website images, or other electronic displays and transmissions thereof, including via email and social media platforms.

Sharing of Information with Sponsors
By registering for the Event and providing your name, company information, and contact information, you grant Signifyd permission to share that information with Event sponsors, who may contact you for marketing purposes.

COVID-19 Protocols
You must follow all posted instructions during the Event. An inherent risk of exposure to COVID-19 exists in any public place where people are present. By registering for FLOW, you acknowledge that participation in the Event may bring some risk and you hereby assume responsibility for your own well-being. You should not attend if you are sick, are exhibiting symptoms of COVID-19, have recently tested positive for COVID-19, or have had recent close contact with someone who was COVID-19 positive. All FLOW participants, guests, and sponsors agree to abide by any and all safety guidelines and protocols required by Signifyd or the Event venue(s), distributed in any manner, including via email, physical posting, or other means on or prior to the Event date, including but not limited to, testing requirements, vaccination requirements, mask/facial covering requirements, and/or social distancing requirements.

All Event participants, guests, sponsors, and staff must follow all then-current Centers for Disease Control and Prevention (CDC), New York State, and/or New York City guidance, and any and all posted or provided instructions and guidelines at Signifyd FLOW events and activities by Signifyd and/or the venue(s). All protocols are subject to change. All Event registrants, participants, and attendees understand, agree, and hereby consent that any failure or disregard to follow all such protocols then in effect and as required by Signifyd, the CDC, New York State, New York City, event venue(s), or any other governing authorities during attendance at the Event is hereby sufficient grounds to be excluded from attending the event by Signifyd or an event authority, and all such parties hereby consent in advance to leave and exit the event, without protest or refund, upon request by Signifyd or an event authority due to refusal to follow said protocols.

Refunds, Associated Fees
In the event Signifyd cancels the Event, registrants shall be refunded any prepaid Event registration fees, provided that such refund shall be Signifyd’s only liability to registrants and registrants’ sole remedy. In no event shall Signifyd be liable to participants, registrants, sponsors, or attendees for any fees or costs associated with attending the Event, including but not limited to hotel, travel, or COVID-19 related expenses (including but not limited to testing fees).

Venue Specific Requirements
By registering for FLOW, you hereby agree to the FLOW venue’s (“Convene”) policies, which apply to all FLOW attendees. No participant may (i) smoke (including any electronic cigarettes, vaporizers, or similar products) inside the building at any time; (ii) perform any activity or cause or permit anything in the building that is reasonably likely to be disruptive or dangerous to Convene or any other participant, or Convene or their employees, guests, or property; (iii) conduct or pursue any illegal or offensive activities or comport themselves to the community in a similar manner; (iv) engage in any sexual acts or sexually offensive conduct anywhere in the area controlled by Convene; (v) allow any person to enter the building if such person is not an Event participant and/or performing any additional required steps according to Convene’s policies; (vi) bring any weapons of any kind, or any other offensive, dangerous, flammable or explosive, hazardous, or inherently dangerous materials into the area controlled by Convene; (vii) bring illegal drugs into the area controlled by Convene; or (viii) provide false identification to the Convene community. To the extent applicable, Convene’s Privacy Policy (found here: https://convene.com/privacy-policy/) shall apply. Convene may require all participants abide by certain COVID-19 specific restrictions and guidelines. Current requirements are found at: https://convene.com/coronavirus-covid-19-updates/. Should the attendance or behavior of any attendee be determined illegal, disruptive, inappropriate, or potentially a legal or reputational liability, and/or inconsistent with the venue’s policies, Convene also reserves the right to refuse service or entry, or to expel such attendee from the premises.

Choice of Law and Venue
All participants understand and agree that the laws of the State of New York will apply to these Event Terms and the venue for any legal action would be in New York County, New York. Any controversy or claim arising out of or relating to the Event shall be settled by arbitration administered by the American Arbitration Association and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. REGISTRANT UNDERSTANDS AND AGREES THAT THEY ARE WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

Signifyd reserves the right to take any action we deem appropriate, including expulsion from any part of the Event, to maintain a positive, inclusive, and safe environment.
